2.6  We may occasionally make additional Nia Avanna products or resources available to Members. Any such product or resource is made available at our discretion and does not mean that the Membership includes, or will include, every Nia Avanna product, resource or service.

2.7  We will provide the core Membership benefits described in clause 2.4 during the Membership Period. We may make reasonable changes to the timing, format, speaker, facilitator, topic, platform or delivery of a session where reasonably necessary, including because of availability, technical issues, illness, security, legal or regulatory requirements, or to improve the Membership. We will not make changes that materially reduce the core Membership benefits without a proper reason.

2.8  We may record mastermind sessions. Recordings will be available to Members only during the Membership Period and may include your name, image, voice, contributions, questions and any other information you choose to share during a session. You should not share confidential, sensitive or personal information during a recorded mastermind session unless you are comfortable for it to be included in the recording and accessed by other Members during the Membership Period.

2.10  You agree to keep your user details and password for the Membership confidential at all times and not disclose them to any third party. You must notify us promptly if you become aware of, or suspect, unauthorised access to or use of your account.

2.11  You are responsible for activity carried out through your account where this results from your failure to keep your login details secure or from sharing them with another person. We may suspend or terminate your access in accordance with clause 6 if you share account access or otherwise allow another person to access the Membership through your account.

2.12  You may communicate with other Members through the Community Collective and at Membership sessions for the purposes of participating in and making use of the Membership. You must not use the Community Collective, mastermind sessions or other Membership spaces to send unsolicited promotions, advertisements, sales messages or invitations relating to your own goods or services.

2.13  The Community Collective and mastermind sessions are intended to be respectful and supportive spaces for professional discussion. You must not, without the relevant person’s permission:

2.13.1  share, disclose, copy, record, photograph, screenshot, distribute or use outside the Membership any personal, professional, confidential or commercially sensitive information shared by another Member;

2.13.2  share recordings, materials or resources made available through the Membership with any non-member; or

2.13.3  use another Member’s contribution, idea or information for your own commercial purposes.

This does not prevent disclosure where the information is already publicly available other than through a breach of these Terms, or where disclosure is required by law.

2.14  You acknowledge that other Members, guest experts and third parties may share experiences, opinions, ideas, questions and information during the Membership. We are not responsible for the accuracy, completeness or suitability of information, comments, materials or views provided by other Members, guest experts or third parties.

2.15  The materials, discussions, expert sessions, Community Collective and mastermind sessions are provided for general information, training and peer-support purposes only. They do not constitute individual advice, recommendations or professional services tailored to your particular circumstances. You remain responsible for your own decisions and for obtaining appropriate professional advice relevant to your circumstances where necessary.

2.16  The online materials and platforms used for the Membership are provided through third-party service providers. We will take reasonable steps to make the Membership available during the Membership Period, but we cannot guarantee that the Membership site, Community Collective, online sessions, recordings, materials or third-party platforms will always be available, uninterrupted or free from errors.

2.17  We may update, replace, remove or make reasonable changes to online materials, resources, recordings and platforms where necessary to maintain, improve, update or secure the Membership, to address technical issues, or to comply with legal or regulatory requirements. We will not make changes that materially reduce the core Membership benefits without a proper reason.

2.18  Any digital materials included in the Membership require the following hardware, software and other functional requirements in order to be fully used:

  • Hardware: a computer, tablet or smartphone with internet access.
  • Operating systems: Windows 10 or later, macOS 10.13 or later, iOS 12 or later, and Android 8.0 or later.
  • Browsers: the latest versions of Chrome, Edge, Firefox or Safari.
  • Software: a PDF reader and video-player software, as needed.

2.19  The digital materials included in the Membership have the following technical protection measures:

2.19.1  Password protection: access to the Membership site is secured with unique login credentials. You must keep your password confidential and must not share it with another person.

2.19.2  Watermarking: downloadable materials may include watermarks to deter unauthorised sharing and identify the original purchaser.

2.19.3  Monitoring and analytics: access to materials may be monitored to detect unauthorised sharing, misuse or access attempts.

2.20  Breach of the technical protection measures, sharing login details, unauthorised recording, copying or distribution of Membership materials, or other misuse of the Membership may result in suspension or termination of access under clause 6.

2.21  Existing members who joined The Community Collective under previous monthly or annual subscription arrangements will retain their existing prices and payment arrangements. They may participate in the six-month mastermind at no additional cost, but participation is optional. An existing member who does not participate in the mastermind will retain access to the wider Community Collective in accordance with their existing membership arrangements.

3.  Payment

3.1  The total price payable for the Membership is as set out on the order form. You may make payment using the payment methods specified on the order form. Where payments are stated on the order form to be made in instalments, you agree that we may take those payments automatically without further consent or notice.

3.2  If you are paying in monthly instalments, the first payment will be taken on the date of registration and subsequent payments will be taken on the same date in each following month. For example, where registration takes place on 28 May, the next payment will be taken on 28 June.

3.3  The Membership is for the fixed Membership Period ending on 30 April 2027 and will not automatically renew. Any opportunity to continue membership after that date will be subject to a separate purchase and the terms notified at that time.

3.4  Without prejudice to any other right or remedy that we may have, if any sum payable under these Terms is not paid within 7 days of its due date, we may suspend your access to the Membership until payment is made in full or the Contract is terminated.

3.5  The total price payable, as set out on the order form, is exclusive of Value Added Tax.

3.6  All payments are non-refundable other than as set out in clauses 6.2 and 6.3 below.

3.7  Your obligation to make the payments set out on the order form is not cancelled or reduced because you do not attend a session, do not use the Membership, or choose not to access the materials or resources made available during the Membership Period.

4.  Our Obligations

4.1  We warrant to you that the Membership is of satisfactory quality and reasonably fit for the purpose for which you purchased it.

4.2  Other than as set out in clause 4.1, all warranties and representations are excluded to the fullest extent permitted by law.

4.3  We will endeavour to ensure that information we provide through the Membership is accurate and up to date. However, we shall not be liable for any claim arising from information being inaccurate, incomplete or out of date.

4.4  We will process your personal data in accordance with our Privacy Notice, which is available at: www.niaavanna.com/privacy-notice.

5.  Intellectual Property

5.1  We are the owner or licensee of all Intellectual Property Rights and all other rights in the materials, resources, recordings, content and information provided or made available by us as part of the Membership, including through The Vault and live sessions (together, the “Materials”). Nothing in these Terms, or otherwise, transfers ownership of any Intellectual Property Rights in the Materials to you or to any other person.

5.2  You may not copy, reproduce, publish, record, share, sell, distribute, dispose of, adapt or otherwise make available to any third party any part of the Materials without our prior written consent.

5.3  We grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to use the Materials solely for the purposes of participating in, and making use of, the Membership during the Membership Period.

5.4  Except as set out in clause 5.3, you may not use any of our Intellectual Property Rights unless we have given you a separate written licence to do so. Use of our name, logo or branding is strictly prohibited without our prior written consent.

5.5  You may not, without our prior written consent, make any audio, video, screen, photographic or other recording of any part of the Materials, including live Membership sessions, the Community Collective or other Members’ contributions.

5.6  We may record mastermind sessions and expert sessions delivered as part of the Membership. You authorise us to include your name, image, voice and contributions in those recordings without payment or further consent. Recordings will be made available to Members through the Membership, including in The Vault where applicable, during the Membership Period.

5.7  Collective Catch-Ups will not be recorded.

5.8  You acknowledge that certain information contained in the Materials may already be in the public domain. Nothing in these Terms prevents you from using information that is genuinely publicly available other than as a result of a breach of these Terms.

5.9  You acknowledge that the ideas, concepts, methods, formats and approach shared by us through the Membership are proprietary to us. You must not use those ideas, concepts, methods, formats or approach to create, deliver or promote a competing membership, programme or service, or otherwise for your own commercial gain.

5.10  The provisions of this clause 5 shall survive termination or expiry of the Contract.

6.  Term and Termination

6.1  The Contract will commence on the date we accept your order and will continue until the expiry of the Membership Period on 30 April 2027, unless terminated earlier in accordance with these Terms. The Membership will not renew automatically.

6.2  If you are purchasing the Membership as a consumer, meaning an individual acting for purposes wholly or mainly outside your trade, business, craft or profession, the following provisions apply:

6.2.1  You have the right to cancel this Contract within 14 days of the date of the Contract by emailing us at [email protected] or by using the model cancellation form at Annex 1. To meet the cancellation deadline, it is sufficient for you to send your communication exercising your right to cancel before the cancellation period has expired.

6.2.2  If you cancel this Contract in accordance with clause 6.2.1, we will reimburse payments received from you under the Contract within 14 days after the date on which we are informed of your decision to cancel.

6.2.3  You expressly request that we begin supplying Membership services during the 14-day cancellation period. If you cancel the Contract before the services have been fully performed, you agree that you will pay for the services supplied up to the date on which you tell us that you wish to cancel. The amount payable will be proportionate to what has been supplied in comparison with the full Membership.

6.2.4  Where we provide digital content not supplied on a tangible medium, including downloadable Materials, recordings or resources, during the cancellation period, you expressly consent to us supplying that digital content immediately and acknowledge that you will lose your right to cancel in respect of that digital content once supply begins.

6.3  If you are not purchasing the Membership as a consumer, the cancellation rights in clause 6.2 do not apply.

6.4  Other than where you have a right to cancel under clause 6.2 or a right that cannot lawfully be excluded, you may not cancel the Membership during the Membership Period. You remain liable to pay the full Membership fee and any remaining instalments due under the Contract.

6.5  Either you or we may terminate the Contract immediately by written notice to the other if the other:

6.5.1  commits a serious or repeated breach of these Terms and, where the breach is capable of remedy, fails to remedy that breach within 14 days of being asked to do so in writing;

6.5.2  becomes insolvent, enters into an arrangement or composition with its creditors, is unable to pay its debts as they fall due, ceases or threatens to cease trading, or is subject to an administration, winding-up, bankruptcy, receiver or similar process; or

6.5.3  commits fraud or dishonesty, or acts in a way which, in the reasonable opinion of the terminating party, brings or is likely to bring the other party into disrepute or is materially adverse to that party’s interests.

6.6  Without limiting clause 6.5, we may suspend or terminate your Membership immediately if you seriously breach these Terms, including by sharing Membership access, Materials or recordings with another person, making unauthorised recordings, or behaving in a way that is abusive, offensive, disruptive or harmful to us, other Members or guest experts.

6.7  On termination of the Contract, you must immediately pay any unpaid fees and other sums due under these Terms, including any remaining instalments due for the Membership Period, except where the Contract has been validly cancelled by a consumer under clause 6.2.

6.8  On expiry or termination of the Contract, your right to access the Membership, The Vault, live sessions, the Community Collective and the Materials will end immediately, unless we confirm otherwise in writing.

6.9  Termination or expiry of the Contract will not affect either party’s accrued rights, remedies, obligations or liabilities at the date of termination or expiry, including the right to claim damages for any breach that existed at or before that date.

6.10  Any delay by us in exercising a right or remedy under these Terms will not amount to a waiver of that right or remedy.

6.11  Any provision which expressly, or by implication, is intended to come into force or continue in force after termination or expiry of the Contract will remain in full force and effect. This includes clauses relating to payment, intellectual property, confidentiality, limitation of liability and governing law.

6.12  For the purposes of these Terms, expiry of the Membership Period will be treated as termination where the context requires.

7. Liability

7.1  Subject to clause 7.5, we shall not be liable for any loss of profits, loss of business, depletion of goodwill and/or similar losses, loss of anticipated savings, loss of goods, loss of contract, loss of or corruption of data or information, or any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses suffered or incurred by you as a result of you entering into the Contract and/or us providing the Membership.

7.2  Subject to clause 7.5, our total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise arising in connection with the performance or contemplated performance of the Contract shall in all circumstances be limited to the price paid by you for the Membership.

7.3  If we are prevented from or delayed in performing our obligations by your act or omission or by any circumstance outside our reasonable control, including illness or incapacity, we shall not be liable to you for any costs, charges or losses sustained or incurred by you that arise directly or indirectly from that prevention or delay.

7.4  We may make reasonable changes to:

7.4.1  the Membership;

7.4.2  any of the Materials;

7.4.3  the location of venues;

7.4.4  the time and date of sessions;

7.4.5  trainers, instructors, coaches or guest experts; and/or

7.4.6  the mode of delivery of the Membership,

where those changes do not materially alter the nature of the Membership.

7.5  Where we need to make a material change to the Membership which is likely to adversely affect your participation, we will give you reasonable notice of the change. If you are a consumer and the change materially affects your participation in the Membership, you may terminate the Contract by giving us written notice before the relevant change takes effect. We will provide a refund for the unused proportion of the Membership fee, where appropriate.

7.6  Nothing in this paragraph 7 shall limit or exclude our liability for:

7.6.1  death or personal injury caused by our negligence;

7.6.2  fraud or fraudulent misrepresentation; or

7.6.3  any other matter for which it would be unlawful for us to limit or exclude liability.

7.7  You acknowledge and agree that:

7.7.1  the Contract constitutes the entire agreement and understanding between us and supersedes any previous arrangement, understanding or agreement between us relating to the provision of the Membership, which shall be deemed to have been terminated by mutual consent; and

7.7.2  in entering into the Contract, you have not relied on any undertaking, promise, assurance, statement, representation, warranty or understanding, whether in writing or not, of any person, whether party to the Contract or not, relating to the Membership other than as expressly set out in the Contract.

7.8  Nothing in clause 7.7 limits or excludes liability for fraud or fraudulent misrepresentation, or affects any rights which cannot lawfully be excluded or limited, including a consumer’s statutory rights.

7.9  The provisions of this paragraph 7 shall survive termination or expiry of the Contract.

8. General

8.1   By applying for Membership you warrant that:

8.1.1  You are legally capable of entering into binding contracts; and

8.1.2  You are at least 18 years old; and

8.1.3  That all information you provide us with is materially true and accurate at all times and not misleading in any way.

8.2 You may not transfer any of your rights or obligations under these Terms to another person without our prior written consent. We may transfer our rights and obligations under these Terms to another organisation, but this will not affect your rights or our obligations under these Terms.

8.3   All notices sent by you to us must be sent to Nia Avanna Limited at [email protected]. We may give notice to you at either the e-mail or postal address you provide to us in writing. Notice will be deemed received and properly served 24 hours after an e-mail is sent or two days after the date of posting of a pre-paid first class, recorded delivery or registered letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that the letter was properly addressed, stamped and placed in the first class, recorded delivery or registered post and, in the case of an e-mail, that the e-mail was sent to the specified e-mail address of the addressee.

8.4   If any court (or other competent authority) decides that any of the provisions of these Terms are invalid, unlawful or unenforceable to any extent, the term will, to that extent only, be ‘severed’ from the remaining terms, which will continue to be valid to the fullest extent permitted by law.

8.5   If we do not insist on performance of your obligations or we delay in exercising any rights or remedies that we have, that will not mean that we have waived such rights or remedies and will not mean that you do not have to comply with those obligations. If we do waive a default by you, that will not mean that we will automatically waive any subsequent default by you. No waiver by us of any of these Terms shall be effective unless we expressly say that it is a waiver and we tell you so in writing.

8.6   We may vary these Terms from time to time where reasonably necessary, including to reflect changes in the law, regulatory requirements, our business, technology or the way in which the Membership is delivered. We will notify you by email of any changes. No change will apply retrospectively or materially reduce the Membership you have purchased during its current Membership period without giving you reasonable notice and, where appropriate, an option to end the Membership and receive a proportionate refund for the unused part of it.

8.7   You accept that communication with us will be mainly electronic.  We will contact you by e-mail or provide you with information by posting notices on our site.  You agree to this electronic means of communication and you acknowledge that all contracts, notices, information and other communications that we provide to you electronically comply with any legal requirement that such communications be in writing.  This condition does not affect your statutory rights.

8.8   A person who is not party to these Terms shall not have any rights under or in connection with them under the Contracts (Rights of Third Parties) Act 1999.

8.9   These Terms and any dispute or claim arising out of or in connection with them shall be governed by the law of England and Wales, and you and we both agree to the exclusive jurisdiction of the courts of England and Wales.
